If necessary, Azoria Consulting will act on its client’s behalf to secure supplemental financing to support the proposed Acquisition.
We will have initially assessed the likely funding structure/ funding sources before any approach has been made; however, it is only after the supply of the up-to-date financial data can this element of the Assignment be definitively detailed.
We work on behalf of a variety of different acquirer types.
As Azoria will work on behalf of a variety of different acquirer types, some will fund any proposed acquisition from funds on deposit, and others, including financial investors (such as Private Equity/Venture Capital), will seek to blend their own funds with external conventional debt finance.
Hence, we are often requested to guide the client in the preparation of their Business Plan and financial projections, which set out their acquisition objectives, returns and strategy for the combined business post-acquisition.
Azoria provides advice on the most appropriate funding structure.
We provide advice on the most appropriate funding structure (i.e. the mix of debt, venture capital, finance leases, grants etc) and will then introduce the opportunity to a selection of appropriate funders. We then will assist the client in presenting their proposals to the funders.
The conclusion of this phase results in negotiating terms with the funders and securing appropriate facility terms and covenants.
We will also liaise with the preferred funders throughout the respective due diligence and legal agreements through to credit approval and drawdown.
